1. Acceptance of Terms
By accessing or using any of ForgeX LLC’s platforms, including but not limited to the ForgeX Website (https://www.forgex.ai), Research Hub (https://research-hub.forgex.ai), Slack Community, courses, frameworks, templates, experiments, or any other materials (collectively, the “Services”), you unequivocally agree to abide by these Terms and Conditions (“Terms”). If you do not concur with these Terms, you must immediately cease using the Services.
2. Intellectual Property Rights
All content, frameworks, methodologies, ideas, images, graphics, data, research, tools, and any other intellectual property (“IP”) provided by ForgeX LLC, whether via its website, Research Hub, Slack community, or any other medium, is the exclusive property of ForgeX LLC and is protected under global copyright, trademark, patent, trade secret, and other proprietary rights laws. Unauthorized use, reproduction, or distribution of this IP may result in severe civil and criminal penalties, and violators will be prosecuted to the fullest extent permissible by law.
3. Restricted Use
Your membership or participation in the ForgeX Services grants you a limited, non-exclusive, non-transferable, revocable license to access and use the provided IP solely for personal, non-commercial purposes. This license is contingent upon your continued compliance with these Terms. Any other utilization, including but not limited to the reproduction, distribution, public display, public performance, or modification of the IP, is strictly prohibited without express written consent from ForgeX LLC.
4. No Unauthorized Use or Distribution
You agree not to modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works from, distribute, perform, display, or in any way exploit any of the IP in whole or in part without the prior written consent of ForgeX LLC. This prohibition extends to all content hosted on the ForgeX Website, Research Hub, and Slack Community.
5. Citation and Attribution
ForgeX LLC requires proper attribution when any of its content, including research, frameworks, tools, or other proprietary materials, is cited or referenced. The following guidelines must be adhered to:
• Attribution: Any citation of ForgeX content must include clear attribution, such as “Source: ForgeX LLC, [Year], [Title of Report or Framework].” Attribution must be prominently displayed and directly associated with the cited material.
• Permissions: Written permission is required for any citation beyond a limited excerpt or for use in commercial publications, presentations, or other media. To request permission, please contact us at davis@forgex.ai.
• Prohibited Use: Under no circumstances may ForgeX content be cited in a misleading or deceptive manner, or in a way that could harm ForgeX’s reputation or misrepresent its research findings. Unauthorized citations or misrepresentations will be subject to legal action.
• Review and Approval: All citations and references to ForgeX content are subject to review and approval by ForgeX LLC. Failure to adhere to these guidelines may result in the revocation of rights to use ForgeX content and potential legal consequences.
6. Legal Remedies and Enforcement
Any unauthorized use or distribution of ForgeX LLC’s IP constitutes an infringement of ForgeX LLC’s rights. If you infringe upon these rights, you acknowledge and agree that ForgeX LLC may, at its sole discretion, pursue any and all legal and equitable remedies against you, including, but not limited to, seeking injunctive relief, monetary damages, court costs, and attorney’s fees. ForgeX LLC reserves the right to terminate your access to the Services immediately upon discovering any violation of these Terms.
7. Consent and Waiver
You understand that unauthorized use of ForgeX LLC’s IP may cause irreparable harm to ForgeX LLC for which monetary damages may be inadequate. Accordingly, ForgeX LLC shall be entitled to injunctive or other equitable relief to prevent such unauthorized use in addition to any other remedies available at law or in equity.
8. Member Contributions and Ownership
Members may contribute content, ideas, or other materials to the ForgeX Services, including within the Research Hub and Slack Community. By doing so, you grant ForgeX LLC an exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, distribute, and display such contributions in connection with the operation of the Services. Exceptions to this grant may be made only through individual agreements or partnerships explicitly ratified in writing by ForgeX LLC.
9. Data Handling and Privacy
By participating in the Services, including the Research Hub and Slack Community, you grant ForgeX LLC unrestricted rights to process and utilize your data. ForgeX LLC commits to responsible data management in line with globally recognized data protection standards. This includes encrypting sensitive data, implementing access controls, and conducting regular audits to ensure compliance with privacy laws. Any data shared within the Research Hub or Slack Community will be protected according to these standards, and users must adhere to all privacy and confidentiality obligations.
10. Conduct and Behavior
Members of the ForgeX Services, including the Research Hub and Slack Community, are expected to maintain a respectful and professional decorum. Engaging in sales pitches, self-promotion, spamming, harassment, or any form of disrespectful behavior will result in immediate termination of your membership or access to the Services. ForgeX LLC reserves the right to monitor, moderate, and remove content that violates these standards or any other part of these Terms.
11. External Links and Third-Party Services
ForgeX Services may include links to third-party sites or services for convenience or additional functionality. ForgeX LLC is not responsible for the content, privacy practices, or operational standards of these third-party sites. You access them at your own risk, and ForgeX LLC holds no liability for any interactions or transactions conducted through these external links.
12. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding on all parties, and may be entered in any court of competent jurisdiction.
13. Updates and Modifications
ForgeX LLC reserves the unilateral right to update or modify these Terms at any given time. Your continued use of the Services following any such modifications signifies your acceptance of the updated Terms. It is your responsibility to review these Terms regularly to stay informed of any changes.
14. Termination of Access
ForgeX LLC reserves the right to terminate your access to any or all of the Services, including the Website, Research Hub, and Slack Community, at any time and for any reason, including but not limited to breaches of these Terms, suspected misuse, or at our discretion for other reasons, with or without notice. Upon termination, all rights granted to you under these Terms will immediately cease, and you must discontinue all use of the Services and IP.
15. Proactive Monitoring and IP Protection
ForgeX LLC actively monitors for unauthorized use of its IP across all platforms, including digital and physical formats. This includes the use of advanced IP monitoring tools to detect and prevent unauthorized reproduction, distribution, or public display of content from the Website, Research Hub, and Slack Community. Detected violations will be addressed promptly, including through legal action if necessary.
16. Non-Disclosure Agreements (NDAs)
All ForgeX employees, contractors, partners, and users with access to sensitive or proprietary information are required to sign non-disclosure agreements (NDAs) as a condition of their engagement with the company. These NDAs are designed to protect all proprietary content, research, tools, frameworks, and user data from unauthorized disclosure or misuse.
17. Research Hub and Slack Community-Specific Provisions
• Access and Use: Access to the Research Hub and Slack Community is restricted to authorized users only. Unauthorized sharing of access credentials or attempts to bypass access controls are strictly prohibited and will result in termination of access and potential legal action.
• Content and Data Protection: All content hosted on the Research Hub and Slack Community, including research, tools, frameworks, benchmarks, landscapes, and event materials, is protected by copyright and other applicable intellectual property laws. Unauthorized use, reproduction, or distribution of this content is prohibited and will be prosecuted.
• User Contributions: Any content, discussions, or materials contributed by users within the Research Hub or Slack Community are considered non-confidential and non-proprietary unless otherwise agreed in writing. By contributing, you grant ForgeX LLC the right to use, reproduce, modify, and distribute such content in connection with the Services.
• Community Standards: Users must adhere to community standards of conduct, which include respecting intellectual property rights, maintaining confidentiality, and engaging professionally. ForgeX LLC reserves the right to remove content and terminate access for violations of these standards.

18. Liability Disclaimer
The Services, including all content and materials provided by ForgeX LLC, are offered “as is” and “as available,” without warranties of any kind, either express or implied. ForgeX LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ForgeX LLC does not warrant that the Services will be uninterrupted or error-free. You agree that ForgeX LLC will not be liable for any damages, including consequential, indirect, incidental, or punitive damages arising out of or relating to your use of the Services, including but not limited to loss of data, loss of profits, or any other damages, even if ForgeX LLC has been advised of the possibility of such damages.
